How to Close an Individual Entrepreneur in Georgia: 2026 Guide

Closing an individual entrepreneur in Georgia involves two independent steps: deregistering at the House of Justice and deregistering for tax at the Revenue Service. The registration part takes one working day. The tax part depends on the tax regime and takes from a few days to a few weeks.

The two steps to close an IE

Deregistration at the House of Justice

The application to terminate IE status is filed at any SDA office (the Public Service Agency of Georgia). You need an identity document. The decision is issued within one working day, and the state fee is minimal.

Remote closure is possible through a notarised power of attorney granted to a representative in Georgia.

Tax deregistration at the Revenue Service

The procedure depends on the tax regime that applied:

  • Micro business: the application to cancel the status is filed through the personal account on the rs.ge portal. Once processed, the account is deactivated.
  • Small business (1% of turnover): a written application at the House of Justice, filing the final return for the last reporting period, then an application to cancel the status through rs.ge.
  • Standard regime: filing the final return for the last period of activity.

Closing bank accounts is not technically required for the registration procedure. But accounts left open under a closed IE create unnecessary administrative load. It is sensible to close the account before or right after filing with the SDA.

What changes for foreign sole traders from 2026

Several Russian-language business sources report that from 1 March 2026 foreign nationals without permanent residence or a matching residence-permit category must obtain a work permit to carry out entrepreneurial activity in Georgia, with a transition period until 1 January 2027. Treat this as a signal to verify rather than settled law: confirm the current wording of the labour migration rules with a lawyer before acting on it.

Common mistakes when closing an IE

Registration closed, tax file left open

After termination at the House of Justice, the Revenue Service still expects reporting. Returns go unfiled and late penalties accrue. To fix it, you first file zero returns for every missed period, then close the tax file.

The IE was inactive and filed no returns

Filing while tax debt is outstanding

The Revenue Service will not close a tax file while debts exist. Before filing, check the balance in the rs.ge personal account and clear any arrears.

How does closing an IE differ from liquidating an LLC?

An IE closes in one to three working days: an application at the House of Justice and tax deregistration. What happens to an IE's debts on closure?

All tax debts must be cleared before filing for deregistration. Debts to creditors are obligations of the individual and are not cancelled by closing the IE. Take advice on your specific situation.
