What an IE and an LLC File in Georgia, and by When

The main misconception about Georgian tax reporting is this: people look for a single annual date by which everything is filed. There isn't one. The core rhythm here is monthly, by the 15th, and it applies to individual entrepreneurs and LLCs alike. Annual deadlines do exist, but they cover different things than most people assume.

The monthly cycle is the backbone

By the 15th of the month following the reporting month, almost everything is filed through the rs.ge portal.

An IE on Small Business status reports turnover and pays 1% of it.

An LLC on the standard regime files a profit tax return. This is the point most often misunderstood: an ordinary company on the Estonian model has no annual profit tax return, because the reporting period is a calendar month. Tax arises only in the months where a distribution occurred, but the return is filed every month. Details in the article on the LLC declaration.

VAT-registered businesses file a VAT return separately from the rest, also monthly.

Employers declare withheld payroll income tax and pension contributions.

The nil return is mandatory

Inactivity does not remove the filing obligation. A return is filed for every month, including months with no revenue and no transactions.

Since 7 March 2026 this has been made explicit: the monthly return is filed even at zero turnover. The position that "the business is dormant, so there is nothing to report" does not hold, and repeated failure to file puts the company's standing at risk.

What is filed once a year

There are two annual obligations, and they cover different things.

By 1 April: the personal income declaration. Filed by residents and by non-residents with Georgian-source income, where that income is not already fully accounted for through monthly declarations or withholding at source. An IE on Small Business status is generally not caught by this, since their income has already been declared monthly.

By 1 October: financial statements. This obligation comes from accounting law, not the Tax Code. Statements are filed with the Service for Accounting, Reporting and Auditing Supervision, and what has to be filed depends on the size category the company falls into. This is the deadline people forget most often, because it sits outside the tax calendar.

A note on the old profit tax system

You will sometimes see references to an annual profit tax return due before 1 April, with quarterly advance payments on 15 May, 15 July, 15 September, and 15 December.

That regime is real, but it belongs to the old profit-based system taxed at 20%, which now covers only specific categories: banks, credit unions, microfinance organisations, lenders, and gambling businesses. It does not apply to an ordinary LLC, to an IE, or to the vast majority of businesses.

If you come across advice to "file the annual profit return by 1 April" aimed at an ordinary company, the source is most likely describing a regime that no longer applies to you.

The standard regime for an IE

Without Small Business status, or once turnover exceeds 500,000 GEL in a year, the standard regime applies. The tax base differs: income minus documented expenses, rather than turnover. The annual income declaration is due by 1 April.

When VAT registration becomes mandatory

Registration is required once turnover on transactions subject to Georgian VAT exceeds 100,000 GEL over any 12 consecutive months. The application is due within two business days of crossing the threshold.

Once registered, another monthly cycle is added, independent of the others.

What late filing costs

Two kinds of sanction, accruing independently of each other.

Failure to file carries a penalty. It arises from the missing return itself, even where no tax is due. That is exactly why nil returns matter.

Late payment accrues interest of 0.05% per day on the unpaid amount, from the first day of delay.

The practical conclusion: if the money to pay is not there right now, file on time anyway. That closes the first breach and leaves only the second.

Does an LLC have an annual profit tax return?

An ordinary LLC on the Estonian model does not. The profit tax return is filed monthly by the 15th. The annual return due by 1 April belongs to the old 20% profit-based system, which now covers banks, credit unions, microfinance organisations, lenders, and gambling businesses.

Do I file a return with zero turnover?

Yes. The obligation does not depend on having revenue, and since 7 March 2026 this has been stated explicitly. Skipping it carries penalties even with no tax due.

What is due by 1 April?

The personal income declaration. An IE on Small Business status is generally not caught by it, since their income is already reported in the monthly returns.

What is due by 1 October?

Financial statements filed with the Service for Accounting, Reporting and Auditing Supervision. This comes from accounting law rather than the Tax Code, and the scope depends on the company's size.

Are the penalty and the interest counted separately?
